1. Acceptance of Terms

By accessing or using Stratum AI ("the Service"), provided by Berlin AI Solutions LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

2. Service Description

Stratum AI is an AI-powered document intelligence platform that provides retrieval-augmented generation (RAG) search, document syncing, compliance workflows, and regulatory monitoring. The Service runs on self-hosted AI infrastructure and is designed for organizations that handle sensitive and regulated data.

3. Accounts

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@stratumbase.ai if you suspect unauthorized access.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to store or transmit malicious code
  • Resell, sublicense, or redistribute the Service without our written consent

5. Intellectual Property

The Service, including its software, design, documentation, and branding, is owned by Berlin AI Solutions LLC and protected by intellectual property laws. Your use of the Service does not grant you ownership of any intellectual property. You retain all rights to the documents and data you upload to the Service.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. For organizations that require a Business Associate Agreement (BAA) under HIPAA, please contact us before uploading any Protected Health Information.

7. Payment and Billing

Paid plans are billed in advance on a monthly or annual basis as specified at the time of purchase. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

8. Limitation of Liability

To the maximum extent permitted by law, Berlin AI Solutions LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, or goodwill. Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure. AI-generated responses are informational and should not be relied upon as legal, medical, or professional advice without independent verification.

10. Termination

Either party may terminate this agreement at any time. You may cancel your account by contacting us. We may suspend or terminate your access if you violate these terms or if continued provision of the Service becomes commercially impractical. Upon termination, you may request an export of your data within 30 days. After that period, we will delete your data in accordance with our data retention practices.

11. Changes to These Terms

We may update these Terms of Service from time to time. Material changes will be communicated via email or a notice on the Service at least 30 days before they take effect. Continued use of the Service after changes become effective constitutes acceptance of the revised terms.

12. Governing Law

These terms are governed by and construed in accordance with the laws of the United States. Any disputes arising from these terms or the Service shall be resolved in the courts of competent jurisdiction.
